Terms and Conditions

Welcome to SPICO Foods & Flavours ("Company," "we," "us," or "our"). These Terms and Conditions govern all commercial business-to-business transactions, inquiries, sample requests, and digital interactions conducted through our website and export desk.

By accessing our platform, placing orders for dehydrated vegetables, onions, garlic, or agricultural spices, or signing commercial Proforma Invoices, the Buyer agrees to be fully bound by these terms.

SPICO Foods manufactures and supplies dehydrated garlic, onions, dried vegetables, and whole/ground spices. All goods comply with specified physical, chemical, and microbial parameters agreed upon in technical product data sheets:

• Moisture & Flake Standards: Goods are processed and dried to maintain designated moisture percentages suitable for extended shelf life during sea transit.
• Optical Sorting: Batches undergo advanced optical color sorting to eliminate defects and foreign matter before sealing.
• Tolerance: Natural agricultural variations in color, cut size (kibbled, minced, granules, or powder), and pungency fall within standard international trade allowances.

All pricing provided via quotation, email correspondence, or our online inquiry desk remains valid for the timeframe stated in the Proforma Invoice (PI), subject to seasonal agricultural fluctuations:

• Standard export orders are confirmed upon receipt of the mutually agreed advance deposit or irrevocable, confirmed Letter of Credit (LC) at sight.
• Currency exchange rates, customs duties, destination terminal charges, and local import tariffs are the sole responsibility of the Buyer unless otherwise agreed in writing.
• Quotes exclude unforeseen port storage demurrage caused by Buyer delays in shipping document clearance.

Delivery terms are governed by ICC Incoterms (latest edition), typically FOB (Mundra / Nhava Sheva, India), CIF, or CFR designated destination ports:

• Dispatch Schedules: Estimated departure dates and container stuffing dates are provided in good faith. SPICO Foods is not liable for voyage delays arising from shipping line blank sailings, transit congestion, or weather disruption.
• Risk of Loss: Title and risk of loss pass to the Buyer according to the applicable Incoterm once the container is loaded onto the export vessel.

We prioritize transparent quality assurance. Buyers are entitled to third-party pre-shipment inspections (e.g., SGS, Geo-Chem) at the origin factory or loading port at their own cost prior to container sealing.

Any claims regarding weight discrepancy, package damage, or specification variance must be submitted formally in writing within 14 business days of container discharge at destination, accompanied by an authorized independent surveyor's report and photographic evidence.

Products are packed in export-standard food-grade polyethylene inner liners within robust, corrugated outer master cartons or multi-wall paper bags. Outer packaging is designed to prevent humidity ingress and transit deformation during global ocean freight.

All brand trademarks, logos, visual graphics, product photographs, text content, and website assets remain the exclusive intellectual property of SPICO Foods & Flavours. Unauthorized reproduction or commercial use without prior written consent is strictly prohibited.

These Terms and Conditions and all associated commercial contracts shall be governed, interpreted, and enforced in accordance with the laws of India. Any unresolved disputes arising under these contracts shall be subject to the exclusive jurisdiction of the competent courts in Gujarat, India.
